Terms of service.
These terms cover the Dicopay invoicing app, this website, and any introduction we make to a lending partner. Read them before you open an account.
This page is placeholder text written for a design mockup. It has not been reviewed by a lawyer and must be replaced by counsel before publication.
Who we are, and what these terms cover.
Dicopay AB is a Swedish company based in Göteborg, registered under company registration number 559108-7787. In this document, we, us, and Dicopay mean Dicopay AB. You means the business that opens the account, and anyone who uses the account on that business's behalf.
These terms are the agreement between you and Dicopay for the app, the website, and any introduction we make to a funding partner. When you open an account, you accept them. If you do not accept them, do not use the service.
What the service is.
Dicopay is invoicing software. You write and send invoices, attach contracts, collect an e-signature, report time, and let us send automatic payment reminders before and after the due date. Your customer approves and pays from their phone and does not need an account.
Every invoice you send to another business or a public body is checked for a financing offer from independent regulated lending partners. If an offer exists and you want it, you can take money against that invoice instead of waiting for your customer to pay. You are never obliged to take an offer, and checking costs nothing.
Dicopay is not a lender. We do not underwrite invoices, we do not fund them, and we do not price them. We introduce you to independent regulated lending partners. Eligibility, pricing, and terms are set by the funding partner and disclosed to you before you accept anything. When a deal funds, the partner pays us a referral fee. That fee is how the free parts of Dicopay are paid for.
The invoicing app is live in Sweden. Availability of the app, of financing, and of individual features differs by country.
Who can open an account.
Dicopay is a service for businesses. It is not a consumer service, and you may not open an account for personal or household use. To open one, all of the following have to be true.
- You run a registered business, or you are a sole trader acting in the course of that trade.
- You are old enough to enter into a contract where you live, and you are authorized to bind the business.
- The information you give us about the business, its owners, and its bank details is true, and you keep it up to date.
- You pass the identity, sanctions, and anti-money-laundering checks that we and our partners are required to run. In Sweden, onboarding uses BankID and takes about a minute.
We can refuse an application, and we can close an account, if we cannot verify who you are or who owns the business.
Your account.
Keep your login details to yourself. Anything done through your account is treated as done by you, so if you give someone access, you are responsible for what they do. If you think someone else has gotten in, tell us right away at [to confirm] and change your credentials.
The invoices you send.
The work behind an invoice is yours, and so is the invoice. You are responsible for the amounts, the tax treatment, the payment terms, the wording, and the accuracy of your customer's details. We deliver the invoice and send the reminders on your behalf. We are not a party to the deal between you and your customer, and we do not decide who owes what to whom.
You need a lawful reason to give us your customer's contact details, and your customer has to have been told how those details are used. Our privacy policy sets out what we do with them.
Acceptable use.
The rules on use are short, and all of them are absolute.
- You may not invoice for goods or services you have not supplied and have not agreed to supply.
- You may not invoice a customer you have invented, or a business that does not exist.
- You may not launder money, finance terrorism, evade tax, or get around sanctions.
- You may not sell anything that is illegal where you are or where your customer is.
- You may not copy, scrape, resell, rent out, or reverse engineer the app or the website.
- You may not send abusive, misleading, or threatening messages to anyone through the product.
- You may not get around a security control, a rate limit, or a closed account.
We can suspend an account while we look into a suspected breach of this section. Invoice fraud is a criminal matter, and we report it.
Fees.
Invoicing is free. There is no monthly fee, no seat fee, no fee per invoice, and no card required to start. Automatic payment reminders are included. Contracts, e-signature, and time reporting are included.
Financing is priced per invoice by the funding partner. It is a single fee on the invoice value, quoted by the partner and shown to you in full before you accept. If you decline, you pay nothing. The pricing page is the whole price list.
Dicopay is paid a referral fee by the funding partner when a deal funds. We do not charge you a separate fee for the introduction.
Financing is an agreement with the partner, not with us.
If you accept an offer, the financing agreement is between you and the funding partner. The partner decides whether to make an offer at all, what it costs, what security or recourse applies, and what happens if your customer does not pay. All of that is disclosed before you accept. Not every applicant qualifies, and not every invoice qualifies. Financing applies to invoices issued to another business or a public body.
Read the partner's agreement, because that is the document that binds you. Questions about a live advance go to the partner, and we will tell you who they are and how to reach them. If the partner's terms and these terms disagree about the financing itself, the partner's terms decide.
We do not give financial, tax, legal, or accounting advice. How an advance is recorded in your books depends on how the offer is structured. Show the offer to your accountant. There is more detail on the financing page.
Services you connect.
You can export your accounting data to software you already use. In Sweden that means Visma, Bokio, Hogia, and SpeedLedger. Once data goes to a service you have connected, that provider's own terms and privacy policy apply to it, and we are not responsible for what they do with it.
What belongs to whom.
The app, the website, the Dicopay name, and the Dicopay logo belong to us. You may use them only as far as using the service requires. Your invoices, your files, your contracts, and your customer data stay yours. You give us the permission we need to host, process, send, and back up that material so the service can run.
Changes to the service.
We change the product. Features get added, replaced, and sometimes withdrawn. Where we remove something you rely on, we aim to tell you first. The service can also be unavailable for maintenance, or for reasons outside our control.
Liability.
We provide the service as it is. As far as the law allows, we do not promise that it will be uninterrupted or free of errors.
As far as the law allows, we are not liable for lost profit, lost business, lost data, wasted expenditure, or any indirect or consequential loss. We are not liable for your customer's failure to pay you, for a funding partner's decision to decline an offer, or for the terms of an agreement you sign with a partner.
Our total liability to you for all claims connected with the service in any twelve-month period is limited to [to confirm].
Nothing in these terms limits liability that cannot be limited by law, including liability for fraud, or for death or personal injury caused by negligence.
Ending the agreement.
You can stop using Dicopay at any time, and you can delete your account. Read how account deletion works first, because some records have to be kept for accounting and anti-money-laundering reasons.
We can suspend or close an account if you break these terms, if the law requires it, or if we cannot verify your identity. Closing an account does not cancel an invoice you have already sent, and it does not end a financing agreement you have already signed with a partner.
Changes to these terms.
We update these terms as the product and the law change. Where a change matters to you, we will tell you before it takes effect. The date at the bottom of this page tells you which version you are reading.
Governing law and disputes.
Swedish law governs these terms and any dispute that comes out of them. Disputes go to the Swedish courts, and the court of first instance is [to confirm]. Nothing here takes away a right you have under the mandatory law of the country you are in.
